Terms of Service

1. Overview

These Terms of Service (“Terms”) govern your access to and use of Josie and related services provided by Josie Labs Pty Ltd (“Josie Labs”, “we”, “our”, or “us”). By accessing or using Josie, you agree to these Terms and our Privacy Policy.

If you do not agree to these Terms, you may not use Josie or connect your eBay account.

2. Relationship with eBay

• Josie is an independent application developed by Josie Labs Pty Ltd.
• We are not owned, operated, endorsed by, or affiliated with eBay Inc.
• Your use of eBay remains governed by eBay’s own agreements and policies, including any API license terms.
• eBay may suspend, revoke, or limit access to data if required under its Developer Program policies.

3. Eligibility

• You must be at least 18 years old and capable of forming a binding contract.
• You must have authority to connect and manage the eBay account you link to Josie.

4. Account Access & Security

• You are responsible for maintaining the confidentiality of your login credentials.
• You agree to provide accurate information and keep it up to date.

5. Acceptable Use

• You will not misuse Josie or use it to violate any laws or platform policies.
• You will not attempt to reverse engineer, disrupt, or exploit the service.
• You will not use Josie in a way that violates eBay’s API terms or restrictions.

6. Data & Permissions

• By connecting an eBay account, you grant Josie permission to access data required to provide features you enable.
• You retain ownership of your business data imported from eBay.
• We handle data as described in the Privacy Policy.

7. Beta / Early Access

• Early access may be limited, time-bound, or invite-based.
• Features may change, be removed, or behave unexpectedly during beta.
• We may pause or discontinue beta access at any time.

8. Fees & Billing

Josie may offer free, trial, and paid plans. If a paid plan applies, pricing and billing terms will be disclosed at the time of purchase.

9. Intellectual Property

• All Josie software, branding, design, and content are owned by Josie Labs Pty Ltd.
• You may not copy, modify, or distribute any part of Josie or derivative works without written permission.
• You retain ownership of your own data imported from eBay.

10. Limitation of Liability

• To the maximum extent permitted by law:
• Josie Labs provides Josie “as is” and without warranties of any kind.
• We are not liable for indirect, incidental, or consequential damages, including lost sales, profits, or data.
• Our total liability arising from or related to your use of Josie will not exceed AUD $100 or the total fees you have paid us in the preceding 12 months, whichever is greater.
• These limitations do not restrict any consumer rights you have under Australian law.

11. Termination

• You may disconnect Josie from your eBay account at any time.
• We may terminate or suspend access if you breach these Terms, eBay API terms, if required by law, or if Josie is discontinued.
• Upon termination, your stored data will be deleted within 7 days per our Privacy Policy.

12. Compliance and Audits

You acknowledge that eBay may audit Josie’s compliance with its Developer Program. If requested, you agree to cooperate with eBay or Josie Labs in verifying data-handling practices.

13. Governing Law

These Terms are governed by the laws of Queensland, Australia. Any dispute shall be submitted to the exclusive jurisdiction of the courts of Queensland.
